General Counsel - Los Angeles

Responsibilities include:

Client Relationships

  • Advise attorneys and management on issues of legal ethics, professional responsibility, client relationship risk management, and identifying and resolving ethical conflicts.
  • Prepare conflict waivers and establish ethical walls.
  • Coordinate with the Business Intake Committee and manage new client intake and due diligence processes.
  • Advise attorneys on engagement issues and compliance with client requirements.  Draft and review related documentation (e.g., engagement letters, outside counsel guidelines).
  • Develop and implement client engagement policies and forms.
  • Advise on preservation and retrieval obligations regarding client records and transfer of client records.
  • Respond to discovery directed to the Firm as a non-party (e.g. subpoenas).
  • Assist in responding to RFP’s.

Loss Prevention and Management

  • Coordinate insurance renewals and review certain policies.
  • Assist in claims reporting and administration.
  • Update and enhance risk management policies and guidelines, and prepare General Counsel alerts and other advisories.
  • Assist in developing Firm-wide compliance regimes and training (e.g., professional responsibility, anti-bribery and corruption, data privacy and security issues).

Compliance

  • Assist in responding to client information requests and compliance audits.
  • Advise on reporting and disclosure matters (responses to client audit letters, opinion letters, and confidentiality issues).
  • Update and monitor compliance with attorney bar qualification and reporting matters.

Enterprise and Organizational

  • Draft and review Firm contracts with vendors and consultants.
  • Coordinate client administration related to incoming and departing attorneys (e.g, conflicts, transfer of client files)
  • Oversee firm corporate issues (e.g. partnership registration, filings, regulatory submissions).
  • Review and assess bankruptcy filing by clients/former clients.

Operations

  • Responsible for administration of Firm’s professional risk management functions, including Conflicts,  Court Services, and Calendar departments.

Requirements:

  • 5 or more years of law firm professional ethics or risk management experience.
  • Must be team-oriented, with excellent interpersonal, communication, counseling, organizational and analytical skills, as well as be detail-oriented, with the ability to manage multiple projects concurrently.
  • Must be able to provide practical legal advice consistent with the Firm’s strategic, business and professional needs.
  • Must demonstrate a commitment to maintain the highest level of confidentiality, personal integrity, ethics and dedication.
  • A J.D. from an ABA-accredited law school and an active bar license in good standing are required.
  • Must be willing to work varied hours as needed.

Land Use Associate - Los Angeles

Our ideal candidate would have a minimum of 3 years of experience, excellent writing and communication skills, strong academic credentials, a desire to work on land use matters both locally and statewide and a collegial attitude.  Knowledge of CEQA is key, experience with Planning and Zoning Laws, Municipal Law, Administrative Law, and the Subdivision Map Act is highly desirable.  Litigation background is also desirable.

Transactional Real Estate Associate (Capital Markets) - Los Angeles

Our ideal candidate would be an associate with a minimum of 3 years of real estate experience with an emphasis on real estate finance (borrower and lender side). Must have an excellent academic record and strong writing and communication skills.

Transactional Real Estate Associate - Los Angeles

Our ideal candidate would be a mid-level to senior-level associate having a minimum of 4 years of commercial real estate transactional experience, including experience in some or all of the following: drafting and negotiating purchase and sale agreements, CC&Rs, development agreements, commercial leases, property management agreements and listing agreements. A stellar academic record and strong communication skills are required.

Insurance Coverage Litigator/Transactional Coverage Lawyer - Los Angeles

We will consider a junior partner with portable business, a mid-level associate (minimum 5 years of experience) or a senior counsel.  Our ideal candidate would have experience with real estate and construction insurance coverage, focusing on the policyholder side only.

This person will represent primarily owners, investors, general contractors, developers, and homebuilders and must have experience handling coverage issues relating to defective construction, among other types of claims.  Additionally, this person must have experience with the following types of policies: commercial general liability (“CGL”), umbrella liability and excess liability; builder's risk; permanent property; and professional liability. Experience with wrap-up insurance programs is a plus.

Responsibilities will include: prosecution of insurance coverage claims in pre-litigation settings, in mediations and in litigation; analysis and critiques of commercial insurance policies, including drafting of manuscript policy language; and handling contractual risk transfer issues, including indemnification provisions and insurance requirements, in a wide range of contracts, such as design and construction contracts, license agreements, JV agreements, management agreements and purchase & sale agreements.  Must have a strong academic background and excellent writing skills.
